SANDSTONE COMMUNICATIONS LIMITED - TERMS OF TRADE
- These terms of trade (the Terms) apply to all contracts, bookings for assessments, training courses, including First Aid /Trauma Management training, events, coaching, consulting, other commissions, sales of First Aid Kits and all other dealings without limitation between Sandstone Communications Limited (SCL) and third parties.
- The Terms cannot be cancelled, overridden or varied, other than in writing signed by a director of SCL, and any and all statements purporting to cancel, override or vary the Terms, by suppliers, clients or other parties with whom SCL deals, are null and void.
- These Terms are governed by and construed in accordance with the laws of England and Wales, the courts of London, England having exclusive jurisdiction.
TERMS OTHER THAN FOR SALES OF FIRST AID KITS
1. Bookings made by clients with SCL:
a. FEES: If a booking for an assessment, training course, including First Aid /Trauma Management training, an event, coaching, consulting or other commission to be supplied by SCL (a Booking) is cancelled by the client, the fee for the Booking is payable in full by the client if the cancellation is made 14 or fewer days prior to the Booking and 50% of the fee for the Booking is due if the cancellation is made from 15 to 30 days inclusive prior to the Booking.
b. EXPENSES: If a Booking is cancelled by the client, any expenses related to the Booking which have or must be paid by SCL, and which cannot be cancelled and/or are not refunded to SCL by the provider, are payable in full to SCL by the client, irrespective of when the cancellation is made by the client.
2. The funds from the client for Invoices raised on its clients must be received by SCL by the latest on the 30th day after invoice date, unless an earlier or later date is shown on the invoice.
3. VAT will be added to all invoices issued by SCL and is payable by the client.
4. Any invoice unpaid after its due date attract interest at 2% per month or part thereof, with monthly compounding, payable in full by the client immediately on demand by SCL.
TERMS FOR THE SALE OF FIRST AID KITS
1. SCL’s First Aid Kits are sold either face to face, with immediate settlement by debit or credit card using a payment terminal, or via SCL’s internet site, with payment by debit or credit card entered on the site by the customer. No kit is supplied without prior settlement by the customer except for bulk corporate purchases, the credit terms of such sales being agreed on a case by case basis between SCL and the customer.
2. Title passes to the customer at the time of the physical receipt by the customer of any First Aid Kit purchased from SCL.
3. SCL undertakes to despatch to the address supplied by the customer within 30 days of the sale at latest any First Aid Kits purchased from SCL which are not handed over in person to the customer at the time of sale. SCL does not currently despatch First Aid Kits to addresses outside the UK.
4. Cooling off period: a First Aid Kit purchased from SCL may be returned for a full refund, including standard shipping charges, if within 14 days of its sale SCL is notified of the return (the Cancellation), and the product is returned unused and received by SCL in ‘as sold’ condition within 14 days of the Cancellation . No refund is made for return shipping charges incurred by the customer.
5. SCL guarantees that the First Aid Kit container and the products supplied therein are fit at the date of sale for the purpose(s) for which they are supplied, subject always to paragraph 9 below.
6. Customers are advised that certain products in its First Aid Kits are date sensitive and must be replaced on or before the date of expiry shown on such items.
7. SCL seeks to ensure that no product in one of its First Aid Kits falls outside its expiry date within 12 months after sale; SCL will replace without charge any product in a First Aid Kit sold by it which goes beyond its date of expiry within 12 months of the date of sale of the Kit.
8. SCL will replace the First Aid Kit container and any of the products supplied therein if a defect in manufacture materially affecting the useability of any of them is identified and notified to SCL within 12 months of the date of their sale.
9. Limitation of Liability: SCL rejects without exception any and all liability of any kind relating to the use or misuse under any circumstances by any customer or third party of the contents of a First Aid Kit supplied by SCL. SCL earnestly advises its First Aid Kit customers to attend and graduate from an SCL trauma care training course appropriate for their business, leisure or other activities in order to fully understand the practical use of all elements of its First Aid Kit.
10. An invoice including product cost and description, VAT and delivery charges will be issued by SCL and transmitted to the buyer latest at the time the delivery of any First Aid Kits despatched to the customer, and if the Kit(s) is/are handed over in person to the customer in person then within 14 days of such handover.
